STATUTE
OF PUBLIC ORGANIZATION
“ASSOCIATION FOR UKRAINIAN

EARTHQAKE ENGINEERING

Odessa city

1. GENERAL REGULATIONS

1.1. Public organization “Association for Ukrainian earthquake engineering” (further on text - "Union") is by unprofitable public organization, which is created with the purpose of leaguing of persons, interested into solving of all questions complex, associated with exchange by scientific and technical information between specialists into industries of earthquake engineering, reinforcing of scientific and technical Ukraine potential, improving and upon improvement of national norms and projection regulations of earthquake engineering, inculcation of leading researches of national scientific schools in projection practice and building, level rising of earthquake resistance of ecologically dangerous objects.

1.2. Activity of Public organization “Association for Ukrainian Earthquake Engineering” spreads on territory of Odessa region.

1.5. Union is accorded status of juridical person from the moment of its state registration, can have an independent balance-sheet, dissevered property, current and other counting in bank founding, emblem and other symbolism, seal, angle stamp, forms with its name and symbolism in Ukrainian, Russian and English. The Union properties Standards become firmly established in established order.

1.6. Union has a right:

    • To come forward by participant of civilly-legal relations, to obtain the property and personal improperly rights, to enter into bonds;
    • To be by plaintiff and defendant in law-court, and arbitration courts and arbitration tribunal;
    • To represent and to stick up for its legal interests and legal interests of its members in state and public organizations;
    • Ideologically, organizationally and materially to back up other citizens unions, to give help in their creation;
    • To create the enterprises, founding and organizations with status of juridical person, to open the branches, the representative offices, compartments and other dissevered subsections, which are necessary for execution of statute aims according to operating legislation
    • To organize and to enter on rights of collective member into other local and international public organizations;
    • To get from organs of state authority and management and organs of local self-government accorded information, necessary for realization of its aims and tasks;
    • To diffuse information and to propagandize its ideas and aims;
    • To lay the foundation of mass media.

1.7. Union does not answer on state bonds and its members, as state and Union members do not answer on Union bonds.

1.8. Union is managed in its activity Ukraine “Law About Leaguing Citizens” by this Statute, and also internal procedures regulations, regulations and other local normative acts.

1.9. Union has a right together with other public organizations to create associations, unions.

2. AIM, TASK OF UNION ACTIVITY

2.1. Union created with the aim of exchange by scientific and technical information between specialists into industries of earthquake engineering, reinforcing of scientific and technical Ukraine potential, improving and upon improvement of national norms and projection regulations on earthquake resistance, inculcation of leading researches of national scientific schools in projection practicing and building, level rising of earthquake resistance of ecologically dangerous objects.

2.2. Union has following task:

  • Guaranteeing of scientists interaction and engineers by carrying out of regular conferences, seminars by questions of earthquake engineering.
  • Organization of teaching of specialists and scientists in industry of earthquake engineering.
  • Edition of specialized literature, periodic literature.
  • Execution of scientific and technical developments into industries of earthquake engineering and inculcations of its.
  • . Interaction with European Association of earthquake engineering and other foreign organizations in industry of earthquake engineering.

2.3. Union also may realize other activity, which accords with Union aims and directed to realization of its statute tasks.

3. MEMBERSHIP INTO UNION

3.1. The Ukraine citizens, citizens of other states, persons without citizenship, which take part in Union activity by personal labor or by payments and interested with achievement of Union of its statute aims may are Union Members.

3.2. Membership into Union may be both individual and collective.

3.3. Affiliation Union is carried out by Union Government when pretenders are present, which helped into statement. Decision of Union Government about affiliation Union is subject to following assertion at General assembly of Union members.

3.4. The Union Members have a right:

 To take part in management by businesses of Union by dint of participation in work of higher Union organ;

 To select and to be selected into leading Union organs;

 To take immediate part in Union work;

 To apply to Union for defense of its legal interests;

 To receive information about Union activity;

 Of overwhelming and preferential participation in arrangements and programs, which are carried out by Union;

 To appoint and recall spokesmen into higher Union organ;

 To make use material and technical Union base;

 To make use Union attributes and symbolism.

3.5. Members Unions beholden:

 To stick to the Union Statute regulations;

 Exactly and in good time to carry out decisions of leading Union organs;

 To bring in constructive and rational suggestions in point of Union activity;

 To be a party to arrangements, as for aims realization and Union tasks;

 To take part in Union activity personally or by its funds;

 Not to give confidential information about Union activity to public utterance;

 To pay entrance and membership payments;

 Not to commit actions, which can bring round losses to Union interests and its members;

 To contribute to achievement of Union of its statute aims by its intellectual and material resources;

3.6. A Union Member may proceed from Union members storage in any time, helping into writing statement into Government of Union.

3.7. A Union Member can be exclude in such cases:

 Non-observance of Statute demands;

 Non-fulfillment decisions of Management organs and Union control;

 Non-fulfillment of its debts, associated with participation in Union activity.

Exclusion from members of Union is carried out by decision of Union Government with following assertion of this decision on General assembly of Union members.

4. PROPERTIES, UNION PROPERTY.

4.1. Union can have in property the money funds and other property, necessary for realization of statute activity.

4.2. Union acquires a property rights on:

 Money funds and other property (property rights), handed to it down by members (including on entrance and membership payments);

 Property (property rights) purchased on funds of entrance and membership payments;

 Property (property rights), endowed by citizens, enterprises, founding, organizations, funds;

 Property (property rights) purchased for counting of own funds and on other basics, not inhibited by prevailing legislation.

4.3. Property and Union funds are used for settlement of its statute tasks.

5. ECONOMIC UNION ACTIVITY

5.1. For solution of statute tasks Union may realize necessary economic activity by dint of creation of self-supporting founding and organizations with status of juridical person, founding of enterprises according to legislation.

5.2. The Unions, are created by it the enterprises, the founding and organizations fulfill stock-taking and accountancy, statistic reporting of its activity, get registered by state tax administration, contribute payments into budget in order and dimensions, foreseen by legislation.

5.3. Union relations to other public organizations, enterprises, establishment and citizens in all spheres of action materialize on agreements base. Union is free to choice item of agreement, to determinate of bonds, any other interrelations conditions, which are not contradict to Ukraine legislation.

5.4. In sociality information aims, Union regularly accommodates in mass media the detailed reports about its activity.

6. INTERNATIONAL UNION ACTIVITY

6.1. Union may enter into international public organizations, to create international associations of public organizations according to order fixed by law, to back up straight international contacts and intercourses, to conclude the suitable agreements, and also to take part in realization of arrangements, which are not contradict to international Ukraine bond.

7. COMPARTMENTS, BRANCH AND UNION REPRESENTATIVE OFFICES

7.1. Union can open its compartments, branches and representative offices on territory of Odessa region on conditions, foreseen by actual legislation.

7.2. The Compartments, Branches and Union representative offices operate according to its statutes (regulations), approved by Government of Union.

7.3. The Compartments, Branches and Union representative offices can be juridical persons after suitable registration in order fixed by legislation.

7.4. Compartments Leaders, Branches and Union representative offices are promoted Government of Union. Decision of Union Government about appointing Leaders for compartments, Branches and representative offices is subject to following assertion by General assembly of Union members.

8. UNION MANAGEMENT

8.1. The General Union members assembly is the Higher Union management organ.

8.2. The General Union members assembly is carried out every year. The Extraordinary assembly convoke for Chairman suggestion of the Union Board.

8.3. The Date of assembly carrying out with agenda is reported to Union members immediately not later of 30 calendar days.

8.4. The changes or additions to agenda can be brought in for suggestion of not less then 30 Union members percentages and not later then 15 days to carrying out the assembly.

8.5. The General Union members’ assembly is taken for law competent, if present on it not less then 50 percent of Union members.

8.6. In presence case on Assembly less then 50 percent of members, the second Assembly is carried out into time, announced by Chairman of the Government.

8.7. The Separate questions, which demand urgent decision and are competence of general assembly, can be solved by dint of referendum among Union members on decision of Union Government.

8.8. To exclusive competence of General Assembly treats:

 Determination of programs priority and Union arrangements;

 Making alteration and additions to Union Statute;

 Determination of basic areas of Union activity;

 Assertion of Union Government report about activity for accounting period;

 Election of Union Government and Chairman of the Government;

 Election of Head and members of auditing Union commission;

 Reorganization and Union liquidation;

 Determination of value of entrance and membership payments;

 Immunity of Union members from entrance and membership payments;

 Assertion of Union Government decisions about appointing leaders for compartments, branches, Union representative offices;

 Assertion of Union Government decisions about affiliation Union, and also about leaving and exclusion from members of Union;

 Establishment of kinds, values and areas of funds use and property of Union;

Other questions of Union activity can be the taken away on consideration of General Union members’ assembly by Union Government members’ initiative.

8.9. The Decisions of General Union assemblies of members are accepted by skilled majority of 2/3 present members.

8.10. Immediate management by current Union activity realizes Government of Union.

8.11. Government of Union is elected on General Assembly of members in amount three men for a term of three years with re-election right.

8.12. Government of Union:

 Make a resolve about creation of enterprises, founding, organizations, opening of compartments, branches, Union representative offices, affirms the statutes, regulations about them;

 Appoints leaders for compartments, branches, Union representative offices;

 Appoints leaders for enterprises created by Union, founding, organizations;

 Affirms a regulation about labor payment and other internal normative acts regulating Union activity;

 Solves questions about concluding of agreements by Union with enterprises, organizations, founding;

 Affirms special purpose Union programs;

 Affirms annual reports, balance sheets and expenses estimates of structural subdivisions, projects leaders and Union programs;

 Make a decision about reception, leaving and exclusion of Union members with following assertion by General Assembly of Union members;

 Solution of other questions, are not attributed to competence of General Union members’ assembly.

8.13. Government Union session has to be hold not more then once into two months. Union Chairman of the Government manages government activity. A Chairman of the Union Government is elected on General Union members’ assembly.

8.14. Union Government session defers competent, if all of Government members are present on it. The Decisions are set by simple majority of voices.

8.15. Chairman of the Government:

    • Manages current Union activity;
    • Acts on behalf of Union without commission;
    • Represents Union in relations with Ukrainian and foreign juridical persons and citizens;
    • Hands commission on presentation of Union interests;
    • Opens the current and other counting in bank founding;
    • Takes on work and discharge member Union staff;
    • Makes decisions about encouragement of Union members and about superposition on them of penalties;
    • Organize effective work of Union staff.

9. CONTROLS AND UNION ACTIVITY VERIFICATION

9.1. Verification of financial Union activity is realized by state tax administration, other state organs within the pale of their competence, auditing Union commission, and also audit organizations.

9.2. Financial Union activity control is realized by auditing Union commission. A Head and members of auditing commission are elected on General Union members’ assembly.

The Government Members cannot be members auditing commission.

9.3. Union accomplishes a revision of its activity not less then once at year.

9.4. The Extraordinary Union activity revisions are accomplished by auditing commission on call of higher Union organ.

9.5. Checkup committee makes deductions on annual reports and to balance sheets. Without deduction of auditing commission the General Union members assembly have no authority to affirm annual Union report.

9.6. Realized verification or revision is not ought to disturb normal Union functioning.

9.7. Checkup committee reports about results of verifications to the higher Union organ.

10. CHANGES PAYMENT ORDER AND ADDITIONS INTO UNION STATUTE

10.1. A Suggestion about of changes and additions into Union Statute considers from initiative not less then 30 Union members percentages. Government of Union prepares a changes project and additions into Union Statute and represents it on assertion to General Union members’ assembly.

10.2. The General Union members’ assembly makes decision about changes and additions into Union Statute and affirms these changes and additions in established order.

10.3. Changes and additions into Union Statute are subject to co-ordinate in accordance with prevailing legislation.

11. UNION SYMBOLISM

11.1. Union can have its symbolism. General Union members’ assembly affirms Union Symbolism.

11.2. After assertion of Leaguing symbolism by General assembly of Union members, Chairman of the Union registries approved symbolism in accordance with prevailing legislation.

12. SUPPRESSION OF UNION ACTIVITY

12.1. Suppression of Union activity is realized by dint of its reorganization (merger, addition, part, apportionment, transformation) or liquidation.

12.2. Union Reorganization is realized after decision of General Union members’ assembly. All rights and debts of Union succeed to legal successors after Union reorganization.

12.3. After making decision about reorganization of Union, the General Union members’ assembly set a commission, which makes an Union property inventory and draw up a transfer balance sheet.

12.4. Union is liquidated:

 After decision of General Union members’ assembly;

 After decision of law-court;

12.5. Union Liquidation is realized by liquidating commission, appointed by liquidation initiator.

Authorities on management by businesses of Union proceed to liquidating commission from destination day of it.

A Liquidating commission publishes information about Union liquidation in official press for Union location, estimate Union property, which is in stock, discovers the debtors and Union creditors and settle account with them, adopts arrangements as for Union debts payment to third persons, composes liquidating balance and transfers it to initiator of liquidation.

12.6. Property and money funds, which belong to Union, in that number the gain from sale of its property attached to liquidation, after computations on persons labor payment, which worked for a wage and execution of debts in front of budget, banks and other creditors, uses for execution of statute Union tasks or on charitable aims, and in Union liquidation case for decision of law-court - in accordance with this decision. It is prohibited to allot Union Property to its members.
